Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and WayPal ("WayPal", "we", "us", or "our") governing your access to and use of the WayPal mobile application, website, and related services (collectively, the "Service").
By downloading, installing, or using WayPal, or by clicking "I agree" or similar during registration, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, do not access or use the Service.
Service Description
WayPal is a driver utility application that provides the following features:
- Mileage and trip tracking for personal and business purposes
- Vehicle management and odometer tracking
- Expense recording and categorisation (fuel, maintenance, etc.)
- Report generation for mileage, expenses, and business-use percentage
- Route templates for frequently travelled routes
- Driver tools including a gas cost calculator and message generator
- Data export for accounting and tax preparation purposes
WayPal is designed as a personal productivity and record-keeping tool. It is not a licensed accounting service, tax advisory service, or financial planning tool. Any data exported from WayPal should be reviewed by a qualified professional before use in official tax filings.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, though we will make reasonable efforts to notify users of significant changes.
Eligibility
To use WayPal, you must:
- Be at least 13 years of age (or the minimum legal age in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
- Not have a previously terminated WayPal account due to a violation of these Terms
If you are using WayPal on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.
Accounts & Registration
Creating an account
You must create an account to use WayPal. You agree to provide accurate, current, and complete information during registration, and to keep your account information up to date.
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:
- Choose a strong, unique password and never share it with others
- Notify us immediately at hello@waypal.app if you suspect unauthorised access to your account
- Ensure you log out of your account when using shared devices
WayPal will never ask for your password via email or through the app outside of the standard login screen. We are not liable for any loss or damage resulting from your failure to maintain account security.
One account per user
You may not create multiple accounts for the same individual. If we detect duplicate accounts, we reserve the right to merge or terminate the additional accounts.
Acceptable Use
You agree to use WayPal only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to violate any applicable local, national, or international law or regulation
- Submit false, misleading, or fraudulent data, including for the purpose of generating inaccurate tax or expense records
- Attempt to gain unauthorised access to any part of the Service, our servers, or any other user's account
- Use automated tools (bots, scrapers, crawlers) to access, collect, or interact with the Service without our written permission
- Attempt to reverse engineer, decompile, or disassemble any part of the Service
- Transmit any viruses, malware, or other harmful code through the Service
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Circumvent any access controls or security mechanisms of the Service
- Use the Service in any manner that could damage, disable, overburden, or impair it
- Resell, sublicense, or commercially exploit the Service without our prior written consent
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including suspending or terminating their account and reporting to law enforcement where applicable.
Your Content
Ownership
You retain full ownership of all data you input into WayPal, including trip records, expense entries, vehicle information, and notes ("Your Content"). We do not claim any ownership rights over Your Content.
Licence to us
By using WayPal, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete the content or your account.
Your responsibility
You are solely responsible for the accuracy and completeness of data you enter into WayPal. We do not verify the accuracy of your trip distances, expense amounts, or other inputs. It is your responsibility to ensure that records used for tax or legal purposes are accurate.
Data export and backup
We strongly recommend regularly exporting your data using the built-in export feature. While we maintain backups, we cannot guarantee data will never be lost and you should maintain your own copies of important records.
Intellectual Property
The Service and its original content — including the WayPal name, logo, app design, user interface elements, code, and all related materials — are and remain the exclusive property of WayPal and its licensors. They are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you the right to use WayPal's name, trademarks, logos, or other branding in connection with any product, service, or content without our prior written consent.
Feedback, suggestions, or ideas you submit to us may be used by us freely without any obligation to compensate you, unless we expressly agree otherwise in writing.
Paid Services
WayPal is currently offered as a free service. If we introduce paid features, subscriptions, or in-app purchases in the future, the following terms will apply:
- Pricing and billing terms will be clearly disclosed before any purchase
- Payments will be processed through Apple App Store or Google Play billing systems, subject to their respective terms
- Refund requests will be handled according to the relevant app store's refund policy
- We will provide advance notice before any free features become paid
Any future pricing changes will be communicated to existing users with at least 30 days' notice before they take effect.
Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, WayPal disclaims all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Service will be uninterrupted, error-free, or free of harmful components
- Any warranty regarding the accuracy, completeness, or reliability of any content within the Service
WayPal does not provide tax, legal, or financial advice. Any data generated by the app — including mileage calculations, expense summaries, and business-use percentages — is provided for your personal record-keeping convenience only and should be reviewed by a qualified professional before use in official filings.
We are not responsible for any decisions made based on data generated by WayPal.
Limitation of Liability
To the maximum extent permitted by applicable law, WayPal and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data
- Loss of business or goodwill
- Inaccuracies in mileage, expense, or report data
- Disruption, suspension, or termination of the Service
- Unauthorised access to or alteration of your data
- Any other matter relating to the Service
Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 CAD.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless WayPal and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or inability to use the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content you submit, post, or transmit through the Service
- Your violation of any applicable laws or regulations
Termination
Termination by you
You may stop using the Service at any time. You can permanently delete your account through the app's Settings section, which will remove all your personal data within 30 days.
Termination by us
We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.
In cases of severe violation (e.g., fraudulent activity, illegal use, or security threats), we may terminate access immediately without prior notice.
Effect of termination
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, limitation of liability, and indemnification — will remain in effect.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, except where prohibited by applicable law in your jurisdiction.
If you are located in the European Union, you may also have rights under the GDPR that are addressed in our Privacy Policy.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you via email if the changes are material
- Display an in-app notification for significant updates
For material changes, we will provide at least 14 days' notice before the new terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
